The Client hereby agrees to indemnify the Company and keep the Company indemnified against all losses, liabilities, expenses, costs, claims, proceedings and demands suffered or incurred by the Company as a result of such cancellation.

In either case the Company shall be under no liability to the Client or their guests or any other person for any loss for which the Client or they may suffer in consequence of any such suspension, substitution, rescheduling or cancellation.

6. Client’s use of the Venue

6.1 The Client shall at all times comply (and procure that its personnel comply) with any rules and requirements applicable to the Venue which are notified to the Client and any instructions of the Company’s personnel.

6.2 The Client shall only use the room or the space hired under the Contract for the purpose set out in the booking contract form.

(iii) The Client shall pay a £500.00 excl VAT fee for the use of the external area (this is over and above the costs associated with the actual provision of the pyrotechnics). (iv) Should the pyrotechnic display be cancelled on the day by the supplier due to weather or any other conditions beyond its control then the Client will have no recourse and will forfeit all monies paid in its respect. (v) The Company will only permit one such display to take place during any single day (a day being from 00:01 hours to 23.59 hours).

6.12 The Client agrees to reimburse all expenses incurred by the Company resulting from the Client’s breach of its obligations under this clause 6 including (but without limitation) any additional payments to staff, in respect to overtime.

6.13 The Client agrees to ensure that the Company’s facilities reserved for the Event are cleared of all materials and equipment brought into them (other than by the Company) for the Vacate Time. In default the Client will, without prejudice to any other right or remedy of the Company, be liable for any costs, charges or expenses payable by the Company to any subsequent client of the Company due to any disruption to its event as a result of the Client’s non-compliance with the Vacate Time.

6.14 The Client shall leave the Venue in the same condition and state in which the Client was first given access to the Venue save for the reasonable cleaning of surfaces of the Venue. In the event that, in the Company’s opinion, the Venue is not left in the same conditions and state in which the Client was first given access or an unreasonable amount of cleaning is required to the room or space after an Event, without prejudice to any other right or remedy of the Company, an additional charge to cover labour and equipment costs will be levied by the Company to the Client and this will be reimbursed by the Client on demand from the Company.

6.15 The Client agrees to notify the Company of any authorised person able to act on behalf of the Client and having ostensible authority to do so unless covered by other provisions of these terms and conditions. In particular (but without limitation) the Client shall ensure that there is no illegal betting or gaming. The Client will indemnify the Company against any and all claims, expenses and costs suffered or incurred by the Company as a result of any breach of this provision.

The Company reserves the right to inspect such paperwork to ensure that it meets the standards expected by the Venue or industry standards. The Client will pay for any repair necessitated by such damage. A damage deposit may be required and will be specified in the Contract. This deposit will be refunded within 14 days after the event, provided there are no damages or additional charges. The Client agrees to pay for the repair or replacement of any damaged items or parts of the Venue. Repair costs will be assessed and charged to the Client within 14 days after the event. A pre-event inspection will be conducted by the Client and a representative from the Company, and any existing damages will be documented. The Client shall report any new damages immediately to venue staff.

8. The Company’s Right to Exclude or Eject Persons

The Company operates a zero tolerance to abuse policy and reserves the right to exclude or eject any persons from the Event or the Venue who it believes to be acting in an anti-social, abusive or disorderly fashion (including any person engaged by the Client to provide production, entertainment or perform any other duties at the Event). The Client shall indemnify the Company in respect of any and all claims whether from guests, staff or otherwise, save where the Client establishes negligence or bad faith by the Company.

9.3 The Client will indemnify the Company against all liabilities, losses, damages, costs and expenses (including but not limited to legal fees) suffered or incurred by the Company arising out of or in connection with: (i) from any breach of this Contract or any act or omission of the Client or its employees, representatives, invitees or agents; (ii) death, personal injury or loss of damage to the Venue or its contents or any property of the Company or any third party caused by any act or omission of Client or its officers, employees, agents, representatives, contractors or subcontractors.

9.4 Neither party excludes or limits its liability to the other for any breach of any obligations implied by Section 12 of the Sale of Goods Act 1979 or Section 2 of the Supply of Goods and Services Act 1982. Nothing in these terms and conditions excludes or limits the Company’s liability for death or personal injury caused by the Company’s negligence, for fraudulent misrepresentation or for any other matter for which it would be unlawful to limit or exclude liability.

9.5 Except as specified in clause 8.4 the Company’s maximum aggregate liability, whether in contract, tort (including negligence), for breach of statutory duty, or otherwise, arising under or in connection with the Contract shall be limited to an amount equal to the total Charges paid by the Client under the Contract.

10. Disposal of Articles Left in the Premises

10.1 The Company shall have the right to remove and discard anything left at the Venue after the Event has ended. If anything appears to the Company to be an article of value, the Company may, if it thinks fit, store such article.

The Company may assign, transfer, sub-contract, charge or deal in any other manner with its rights and obligations under the Contract.

12.2 This Contract contains the entire agreement between the Company and the Client with respect to the Event, and supersedes all previous conditions, terms, obligations, promises, warranties or agreements whether oral or written relating to the Event. Each party acknowledges that in entering into the Contract it does not rely on any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in the Contract.

12.3 No variation of this Contract shall be effective unless it is in writing and signed by the parties.

12.4 This Contract shall be governed by and construed in all respects in accordance with the laws of England and the Courts of England shall have exclusive jurisdiction to hear and determine any suit, action or proceeding relating to or arising in connection with this Contract.

12.7 The failure to exercise or delay in exercising a right or remedy under these terms and conditions will not constitute a waiver of the right to remedy or a waiver of any other rights or remedies. No single or partial exercise of any right or remedy under these terms and conditions will prevent any further exercise of the right or remedy or the exercise of any other right or remedy. A waiver of any right or remedy under this Contract or by law is only effective if given in writing and shall not be deemed a waiver of any subsequent right or remedy.

12.8 Each of the provisions contained in these terms and conditions will be construed as independent of every other provision, so that if any provision is determined by any English court of competent authority to be illegal, invalid and/or unenforceable then such determination will not affect any other provisions of these terms and conditions, all of which will remain in full force and effect. Any such provision within these terms and conditions deemed illegal, invalid and/or unenforceable will then be removed from these terms and conditions and both parties will agree to use their best endeavours in good faith to achieve the same objectives by lawful means.

12.9 Any booking taken by the Company is contracted as a private event on the understanding that the meetings/activities will not in any way interfere/conflict with the interest of any other event already contracted for use of other parts of the Venue. Any canvassing of delegates, exhibitors, buyers or visitors to another event in the Venue is strictly prohibited. Should the Company form the opinion (acting reasonably) that the Client is engaging in any marketing or profiling of other event guests or their contractors or other visitors to the Venue, then the Company reserves the right to terminate this Contract at any stage or terminate the live Event.
